The Asian iTech Fund (the "Fund") is a sub-fund of Hamon Strategic Funds (HSF), a Cayman opened-ended investment company. The Fund operated as a closed-end fund from inception, but as from 31st January 2001, investors are able to subscribe for and redeem shares monthly at NAV.

Investment Objective

To achieve long term capital appreciation by investing predominantly in the listed equities of Asian companies engaged in information technology, including software development, media and content, internet and e-commerce, communications, equipment and components, computers, electronic devices and peripherals.
The Fund may also selectively invest in companies that are involved in convergence technologies, such as telemedicine, as well as other unique Asian technology opportunities.
The Fund may also invest a portion of its assets in non-listed pre-IPO companies in these sectors provided that there is a reasonable expectation that they will become listed within 12 months. The Fund may invest up to 20% of its NAV, calculated at time of investment, in private companies. Private holdings will be valued at cost until listed.

Geographic Focus

Asia including Japan and India. The Fund may selectively invest in Australia, New Zealand or in non-Asian companies that will derive a significant portion of their revenues from Asia, base their operations in Asia, or whose business strategies are significantly linked to Asia.

Markets

The Manger invests in companies listed on the main Asian stock exchanges as well as the emerging technology focussed boards, such as the Growth Enterprise Market ("GEM") in Hong Kong, "Mothers" in Japan and Kosdaq in Korea. Certain Asian companies may also be listed on Nasdaq.

Annual Management Fee

1.35% on listed investments and 2.5% on holdings in private companies until they become listed, from which point they will be treated as listed investments.

Performance Fee

15% of gains in excess of the MSCI AC Asia Pacific Index in a calendar year subject to a high water mark payable at year end when applicable. Private companies will be carried at cost until they are sold or listed.

Minimum Subscription

Minimum initial investment US$100,000 as prescribed by the Irish Stock Exchange.

Monthly Subscriptions

As from 31st January 2001, subscriptions for new shares can be made on any dealing day at NAV (plus the estimated costs to the Fund of buying the underlying stocks) plus a sales commission of up to 2.5%.

Monthly Redemptions

As from 31st January 2001, redemptions can be made on 5 days notice at NAV less the estimated costs to the Fund of selling the underlying stocks. The Manager shall have the right to limit redemptions (and subscriptions) to 15% of NAV on any dealing day. Any redemption orders not processed shall be automatically rolled forward to the next dealing day unless rescinded by the investor.

Liquidity

CLSA and other leading market makers will make a daily two-way market in the shares so that investors can buy and sell holdings on the Irish Stock Exchange.

Distributors received a fee of 2.5% of the value of shares issued in the initial offering.
